These terms and conditions ("Terms") govern the Mountain House Loyalty Program (“Program”). The Program is operated by Oregon Freeze Dry dba Mountain House. ("Mountain House"). By participating in the Program, you agree to be bound by these Terms, as amended from time to time. These Terms are in addition to, and do not replace Mountain House’s Terms of Use ("Site Terms"), which also apply to your use of Mountain House’s website and mobile application. Mountain House’s collection and use of information for the Program is explained in the Privacy Section [LINK down] of these Terms and Mountain House’s Privacy Policy. Mountain House reserves the right to change these Terms or any other aspects of the Program at any time, upon reasonable notice to Members (defined below) in accordance with these Terms. Please check the Program page at https://mountainhouse.com/community/membership (“Mountain House Website”) periodically for changes. If you violate these Terms, Mountain House may terminate your Program membership (as defined below), bar you from future participation in the Program, cancel any unredeemed Benefits and Rewards (defined below) and take appropriate legal action.
Agreement to Arbitrate Claims: Your participation in the Program is subject to your agreement to resolve all disputes by final and binding arbitration on an individual and not a class-wide or consolidated basis, as more fully detailed in the Individual Arbitration Agreement and Class Action Waiver sections of the Site Terms. That means that an arbitrator, not a judge or jury, will decide any claim.

1. Membership Eligibility and Benefits
The Program is free to join and is open only to legal residents of one of the fifty (50) United States or the District of Columbia who are 18 years of age or older, and provides Members with benefits (the “Benefits”) that include the following:
- Member-only discounts and early sales access as made available from time to time by Mountain House
- 10% Rewards on qualifying purchases (defined and described in more detail below)
- Free shipping on all orders
- Participation in the Referral Program (described below)
- Other benefits that may be communicated by Mountain House
Eligible individuals who are at least 18 years old but younger than the age of majority in their jurisdiction must obtain permission from a parent or legal guardian to enroll. No business entities, organizations or groups may register for the Program or use any Benefits. You agree to take commercially reasonable precautions to protect any usernames and passwords or other credentials for your Program account so that others may not access your Program account and you agree you will not sell, transfer or assign your Program membership or any Benefits.
An individual may not have more than one (1) Program account, and you agree not to participate under more than one (1) Program account. If you have created more than one (1) Program account, please contact info@mountainhouse.com and a representative will assist you in merging your accounts (provided that, if Mountain House determines or reasonably suspects that you have created multiple accounts in an attempt to abuse Program membership, Mountain House may terminate all accounts as described in Section 6 below). Only one (1) account will retain unused Benefits, including any Rewards (defined below). Benefits in the surviving Program membership account will remain unaffected, but all unused Benefits, including all unexpired Rewards not yet used, in any other accounts merged into the surviving Program membership account will be forfeited. It may take up to seven (7) days to process your request. Permitted account mergers are final and non-reversible upon submission of a merger request.
2. Membership Enrollment
To enroll in the Program, you must provide all required enrollment information, including, without limitation, name and e-mail address to Mountain House by submitting the Program enrollment form on the Mountain House Website. After you complete your registration and we verify your account , you will become a member of the Program (“Member”). Mountain House reserves the right, in its sole discretion, to verify your information at any time and to suspend or terminate your account and your ability to participate in the Program for any reason and without notice to you, including, without limitation, if Mountain House determines or suspects you of fraudulent activity or non-compliance with any provision of these Terms or the Site terms. As provided in Section 6 of these Terms, such suspension or termination may result in the loss of your Benefits and any Rewards associated with your Program account. You are responsible for any loss or inability to use or participate in the Program (such as an inability to redeem Benefits) arising from your failure to provide and maintain accurate contact information.
Members may cancel their Program membership at any time as provided under Section 6 of these Terms. A Program membership account will remain valid until cancelled or terminated in accordance with these Terms. A Member’s enrollment and participation in the Program is personal and non-transferable. Benefits may not be purchased, sold, bartered, brokered or otherwise transferred. Program membership accounts, Rewards and Benefits are not transferable upon death or as part of a domestic relations matter or otherwise by operation of law. Any offers a Member receives are specific to that Member's membership account, unless otherwise stated, and are non-transferable. A Member’s account cannot be used by anyone other than the Member, including, without limitation, in order to redeem Benefits. Mountain House may limit the number of Members and may temporarily or permanently discontinue registering new Program enrollments at any time and for any reason without notice to you.
3. Referral Program
Members have the ability to participate in the referral component of the Program as a referrer (“Referrer”). To partake, you must go to your Program membership page and follow the instructions to send your friends, family, and colleagues (your “Referrals”) your unique referral link and an invitation to make a purchase from Mountain House (each, an “Invitation”). As more fully explained below, each Invitation must disclose that the Referrer will receive Mountain House discounts if the Referral make a qualifying purchase from Mountain House through the Referrer’s personal link. By sending an Invitation, you represent and warrant that you know the Referral and that, to the extent any consent is necessary, you have the required consent. You must respect the spirit of the Program by sending Invitations only to real individuals with whom you know personally.
Subject to your compliance with all these Terms, you will receive $10 in Rewards (“Referral Reward”) and your Referral will receive 20% off their first order of $50 or more (before taxes and shipping and after the 20% discount) (the “Referral Discount”) for a Qualifying Transaction. A “Qualifying Transaction” occurs when an eligible Referral (a) makes a purchase of $50 or more (before taxes and shipping and after the 20% discount) from Mountain House using your personal link, and (b) has not previously made a purchase through the Mountain House Website. In the event that your Referral does not complete a Qualifying Transaction, you will not receive the Referral Reward and they will not receive the Referral Discount. The Referral Reward will be credited to your Program account within [timeframe] following verification of a Qualifying Transaction. The Referral Discount is not valid with other promotions.
No more than one Referral Discount may be redeemed on a single transaction. Mountain House reserves the right to revoke and/or modify Referral Rewards if we determine, in our sole discretion, that the Referrer has engaged in fraudulent referring activity (e.g., using Spam (defined below) to obtain referrals). Referrers cannot refer themselves [or members of the same household] or create multiple, fictitious, or fake accounts to participate to receive Referral Rewards. Neither Referral Reward, nor Referral Discount will be earned where a referred individual has previously made a purchase from Mountain House under any email address or alias. We reserve the right to limit the maximum number of Referral Rewards that may be applied to your account. We may delay the issuance of a Referral Reward for the purposes of investigation. We may also refuse to process any earning or redemption transaction we deem, in our sole discretion, to be fraudulent, suspicious, in violation of these Terms, or if we believe it will impose potential liability on us, our subsidiaries, or our affiliates or any of their respective officers, directors, employees, representatives and agents. Other exclusions or restrictions may apply.
You Are Responsible for Your Communications. You are limited in the way you may talk/write about the Referral Program. You understand that for any communications you send, you are sending them on your own behalf. This is a legal requirement, and your failure to include the notice may result in voiding any Referral Rewards. The content of all of your communications about the Referral Program must be yours alone. In addition, you and your communications must comply with the following terms:
You Must Disclose Your Relationship with Us. Every time you post or send your personal referral code or link, you must tell the recipient or readers that you will earn a Mountain House reward if they use your personal referral link to make a Qualifying Purchase. Making this disclosure is a legal requirement. Failure to comply may result in voiding any Referral Rewards or your Program participation, and may be a violation of laws enforced by the Federal Trade Commission. Please use the following language: “I get a $10 credit if you make a purchase of $50 or more using my link.”
No Side Promotions; Stick with the Referrals. You must not conduct your own promotion in connection with the Referral Program. Any communications you make about the Referral Program must be limited to referring people to make a purchase from Mountain House. You agree that you will not participate in the Program in a threatening, abusive, illegal, dishonest, or unethical manner.
Be Truthful and Not Misleading. Do not misrepresent or embellish your relationship with us or write, say, or post anything you know is untrue or may be misleading. Do not make performance, price, or other claims about Mountain House.
No Use of Our Intellectual Property Without Our Permission. You may include a link to the Website in your communications. However, you must not, without our written permission, include any other Mountain House trademarks or other of our materials in your communications and you must not use any other domain names or e-mail addresses that include Mountain House its marks, or its other property.
Bulk Distribution (“Spam”). Each Referrer is the actual sender of any Invitation, even if we provide a template or assistive technology for you to do so. You therefore must comply – and are solely responsible for complying – with all applicable laws regarding such communications. Referrals must be created and distributed in a personal manner that is appropriate and customary for communications with family members, friends, and colleagues. By sending an Invitation, the Referrer represents that they have the appropriate permission and consent. If someone has asked you to stop sending them messages about Mountain House, respect that wish. Bulk distribution, distribution to strangers, or any other use of the services described in these Terms in a manner outside the intent of the Program is expressly prohibited and may be grounds for immediate termination from the Program and further legal action. You agree to indemnify the Mountain House and its affiliates, officers, and directors against any liabilities, costs, and expenses it or they incur as a result of your violation of this provision.
4. Redeeming Benefits
To redeem Benefits or earn Rewards as described in more detail below, you must be logged into your Program account. Benefits are subject to availability and limitations as may be imposed by Mountain House. Each Member is solely responsible for all federal, state and local taxes and any other costs or expenses of accepting, receiving, and using Rewards and other Benefits, unless Mountain House specifically states otherwise in writing.
A list of current Benefits is listed above and will be available at on the Mountain House Website. Mountain House may add, remove, or alter Benefits available for redemption in its sole discretion. Mountain House reserves the right to limit the redemption of Benefits available at any particular time.
Benefits may not be available for all orders or promotions notwithstanding any errors in advertising to the contrary. In the event of technical failures or difficulties or other reasons, Benefits, including the ability to earn or redeem Rewards, may not be available. Members are not entitled to any compensation as a result of such technical failures or difficulties.
5. Rewards
As one of the available Benefits, Program members can earn rewards discounts on all qualifying purchases equal to 10% of the purchase price before taxes and shipping, rounded down to the nearest dollar [confirm] (“Rewards”). Rewards can be applied to future qualifying Mountain House purchases and expire 180 days from the date of issuance or as otherwise set forth at the time the Rewards are issued. Rewards may not be redeemed in connection with (i) any taxes on purchases or transactions, unless such taxes are included in the posted prices of such items or (ii) purchases of a gift certificate or gift card . Rewards are not redeemable for cash, gift certificates, gift cards, or any cash equivalent. Rewards may not be inherited, bartered, purchased, transferred or sold to any third party.
Rewards are only earned for qualifying purchases through the Mountain House Website when logged into a Program account at the time of the qualifying transaction or purchase, and excludes: (i) any taxes paid on purchases or transactions, unless such taxes are included in the posted prices of such items, (ii) portions of purchases or transactions made using Rewards, gift cards or gift certificates; or (iii) purchases or transactions that are cancelled, refunded, returned or reversed. Mountain House reserves the right to change, modify or update eligible purchases and transactions to earn Rewards at any time. Mountain House may provide additional opportunities to earn Rewards in its sole and absolute discretion, provided that Mountain House will have no obligation to offer such additional opportunities to all Members.
Rewards are automatically tracked when recognized and accepted Members are logged in with their Program credentials at the time of qualifying purchase or transaction as described above. In the event that a Member has a qualifying purchase or transaction that is later reversed or refunded (for example, if a purchase is returned), corresponding Rewards will be deducted from the Member’s account within 14 days . Rewards may only be credited to one (1) Member account. Rewards will be credited to a Program account following consummation of the transaction. In certain cases, it may take twenty-four (24) hours or more for Rewards to be credited. Mountain House will not be responsible for, or liable to, any Member, person or entity, in any way for any losses, costs or expenses incurred by a delay in crediting Rewards to an Member's membership account.
6. Loss of Benefits; Cancellation: Termination
A Member may cancel their Program membership at any time, for any reason, by [describe how one can cancel their membership]. Upon cancellation or termination for any reason, the Program Benefits end and any Rewards associated with the account are forfeited. Upon cancellation of an Membership, Mountain House may maintain your account information in accordance with Mountain House’s data retention policy and Privacy Policy. After cancellation, Mountain House may send you messages from time to time using the contact information provided by you, unless you opt-out of receipt of such communications by modifying your choices on the Mountain House Website or following any opt-out instructions that may be provided in the communications.
Notwithstanding the foregoing, Mountain House reserves the right to suspend or terminate, at Mountain House’s sole and absolute discretion, any Program account if Mountain House believes that Member has abused Program privileges, has violated or acted inconsistently with these Terms or applicable law or acted in a manner harmful to our interests. Abuse or violations that may result in suspension or termination include, but are not limited to: (i) using automated or fraudulent means to participate in the Program; (ii) your failure to follow these Terms, the Site Terms, and any other terms and conditions applicable to you in connection with your relationship with Mountain House; (iii) the attempted or actual sale or transfer of any of your Benefits or your Program account itself; and (iv) making a misrepresentation to Mountain House in connection with your participation in the Program. Members understand and agree that termination by Mountain House of a Program account will result in the immediate forfeiture of all Benefits, including Rewards earned, associated with that Member’s account and the inability of that Member to redeem Member Benefits. In addition, Mountain House reserves the right to take administrative or legal action against you, including seeking criminal prosecution, in its sole discretion.
If, as a result of acts beyond Mountain House’s control, such as strikes, boycotts, war, epidemics/pandemics, acts of God, riots, terrorism, delays of commercial carriers, restraints of public authority, the Program cannot run as planned or Benefits cannot be provided, Mountain House reserves the right, in its sole discretion, to cancel, modify or suspend the Program or Program Benefits, as determined in Mountain House’s sole discretion.
Mountain House reserves the right to terminate Program, or any or all Benefits under Program, at any time, for any reason, including without limitation, upon sale of Mountain House. In the event Mountain House elects to terminate Program, Mountain House will provide a notice of termination in accordance with these Terms.

8. General Restrictions
You agree to abide by the final and binding decisions of Mountain House regarding the Program and your participation in it. Mountain House will be the sole arbiter in cases of suspected abuse, fraud, or violation of its rules and any decision it makes relating to termination, suspension, or disabling of Program membership will be final and binding.
Should a Member object to any of these Terms, or any subsequent modifications thereto, or become dissatisfied with the Program, that Member’s only recourse is to immediately discontinue participation in Program and/or properly cancel their Program membership account in the manner provided above.
9. Disclaimer of Warranties/Limitation of Liability
To the maximum extent permitted by applicable law, Program Members expressly agree that use of, and participation in, the Program is at the Program Member’s sole risk. Program Members further agree that Mountain House and its subsidiaries and affiliated companies (including direct and indirect subsidiaries, sister and parent companies, and their predecessors and successor in interest), and their respective officers, directors, managers, employees, agents, suppliers, vendors, content providers, licensors, licensees, and other representatives (each a “Mountain House Party” and, collectively, the “Mountain House Parties”) will not be liable to Program Members or anyone else for any loss or injury or any indirect, incidental, consequential or special damages arising out of use or enrollment in Program or arising out of any action taken in response to or as a result of any information available through the Program. Each Program Member hereby waives any and all of the above claims against the Mountain House Parties and their respective agents, representatives or licensors arising out of, or in connection with, their participation in the Program.
Further, you agree that no Mountain House Party is responsible, and will have no liability to you, for: any error, omission, interruption, defect or delay in transmission, order processing, or communication; technical or mechanical malfunctions; errors in these Terms or in any Program -related materials; human-processing error; failures of electronic equipment, computer hardware or software; damage to your equipment, computer hardware or software, or inaccurate information, whether caused by equipment, programming, human error, or otherwise.
To the maximum extent permitted by applicable law, you agree that Program and all services and Benefits offered therein are provided on a strictly “as is,” “as available,” and “with all faults” basis. The Mountain House Parties make no warranty with regard to any products, services or Benefits obtained by Program members through the Program or through any advertisers, sponsors or partners. The Mountain House Parties make no warranty that the Program will be uninterrupted, timely or error free, nor does any Program party make any warranty as to the results that may be obtained from the use of the Program. Each Program member hereby waives any and all claims against the Mountain House Parties arising out of or in any way relating to their use of or enrollment in the Program and the modification of these Terms. The sole and exclusive maximum aggregate liability of Mountain House for all damages, losses, and causes of action (whether in contract, tort (including negligence), or otherwise) will be the greater of five dollars ($5.00). The prior limitation on damages is not intended to limit your rights to recover attorneys’ fees or costs where applicable or to limit the Mountain House Parties’ obligation (if any) to pay prevailing party costs or fees if recoverable pursuant to applicable law. The limitations set forth in this section will not limit or exclude the Mountain House Parties’ liability for personal injury or tangible property damage caused by the Mountain House Parties’ gross negligence, fraud or intentional, willful, malicious or reckless conduct.
Mountain House expressly disclaims any and all express and implied warranties, including, but not limited to, the implied warranties of merchantability, or fitness for a particular purpose. Mountain House will not be liable or responsible for those guarantees, warranties and representations, if any, offered by advertisers, manufacturers of merchandise, or suppliers of services. No advice or information, whether oral or written, obtained by a Program Member from or through the Program or Mountain House will create any warranty not expressly made in these Terms. Mountain House is not responsible and assumes no liability for changes or discontinuance of service from providers which may affect Benefits.
Mountain House will be excused from performance under these terms to the extent Mountain House is prevented from or delayed from performing, in whole or in part, as a result of an event or series of events caused by or resulting from (1) weather conditions or other elements of nature or acts of god, (2) acts of war, terrorism, insurrection, riots, civil disorders, or rebellion, (3) quarantines or embargoes, (4) labor strikes, or (5) other causes beyond the reasonable control of Mountain House.
You agree that in the event you incur any damages, losses or injuries that arise out of Mountain House’s acts or omissions, the damages, if any, caused to you are not irreparable or sufficient to entitle you to an injunction preventing the continued operation of the Program, or any web sites, mobile apps, property, product, or service owned, operated, or controlled by any of the Mountain House parties, and you will have no rights to enjoin or restrain the development, production, distribution, advertising, exhibition or exploitation of the Program or any web site, mobile app, property, product, or service owned, operated, or controlled by any of the Mountain House parties.
By participating in the program, you understand that you may be waiving rights with respect to claims that are at this time unknown or unsuspected, and in accordance with such waiver, you acknowledge that you have read and understand, and hereby expressly waive, the benefits of Section 1542 of the Civil Code of California, and any similar law of any state or territory, which provides as follows:
“Certain claims not affected by a general release. A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party.”
10. Notices
Notices given by Program will be transmitted, in Mountain House’s sole discretion, by e-mail, general posting on the Mountain House Website, or through other methods as may be deemed appropriate by Mountain House or permitted under law. Notices in connection with the modification of these Terms will be provided as stated in Section 13 below.
11. General
The Program is void where prohibited by law. You agree not to participate in the Program if it is illegal to do so in your jurisdiction. In our sole discretion, we may assign these Terms in whole or in part, without notice to you. You may not assign these Terms without our prior written consent. If any provision(s) of these Terms is held to be unenforceable, then such provision(s) will be construed, as nearly as possible, to reflect the intentions of the parties with the other provisions remaining in full force and effect. The failure to exercise or enforce any right or provision of these Terms will not constitute a waiver of such right or provision unless acknowledged and agreed to by in writing. Any heading, caption or paragraph title contained in these Terms is inserted only as a matter of convenience and in no way defines or explains any paragraph or provision hereof. Nothing contained in these Terms will be construed as creating any agency, partnership, or other form of joint enterprise between you and Mountain House. You agree that these Terms will not be construed against Mountain House by virtue of Mountain House having drafted these Terms.
12. Indemnification
To the maximum extent permitted by applicable law, Members agree to defend, indemnify and hold the Mountain House Parties harmless from any and all losses, damages, judgments, liabilities, claims, demands, costs, investigations, settlements and expenses, that directly or indirectly arise from or are otherwise directly or indirectly related to: (a) your participation in the Program or activities in connection therewith; (b) your breach or anticipatory breach of these Terms; (c) your violation of any laws, rules, regulations, codes, statutes, ordinances or orders of any governmental and quasi-governmental authorities, including, without limitation, all regulatory, administrative and legislative authorities; (d) any misrepresentation made by you; or (e) the Mountain House Parties’ use of your information as permitted under these Terms, or any other written agreement between you and us. You will cooperate as fully required by the Mountain House Parties in the defense of any claim. The Mountain House Parties reserve the right to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, and you will not, in any event, settle any claim without the prior written consent of a duly authorized employee of the Mountain House Parties. This Section will survive the termination of this Agreement.
13. Modification of these Terms
Mountain House reserves the right to modify these Terms from time to time, with reasonable notice to Members. Mountain House will notify you of changes to the Terms by posting the updated Terms on the Mountain House Website and may also choose to notify you by e-mail to the address then associated with your Program account or by other means. The updated Terms will be effective as of the time of posting, or upon such later date or by such other method as specified by Mountain House. The updated Terms will apply to your participation in the Program beginning as of their effective date.
14. Entire Agreement
These Terms constitute the complete and exclusive understanding between Mountain House and Program members relating to the subject matter of these Terms and supersede all prior or contemporaneous understandings, agreements and/or advertising relating to the subject matter of these Terms. Both parties acknowledge that they have not been induced to enter into these Terms by any representations or promises not specifically stated in these Terms.
